ARIS Terms and Conditions
Disclaimer: These Terms and Conditions are provided for general information purposes and do not constitute legal advice. 1. Introduction
Welcome to ARIS ("we," "us," or "our"). We provide members and non‑members (collectively, "Users") with luxury travel services including on‑demand black‑car transportation, yacht charters and private jet bookings. By accessing our website or mobile application (collectively, the "Platform") or by booking services through us, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use our services.

2. Scope of Services
ARIS acts as a concierge and booking platform connecting Users with independent transportation providers ("Affiliates"). Affiliates operate their own vehicles, yachts and aircraft and are solely responsible for the performance of their services. ARIS does not own or operate the vehicles, vessels or aircraft offered through the Platform and is not a common carrier. Services are subject to availability and may vary by location.

3. Eligibility
You must be at least 18 years old and legally able to enter into contracts to use our services. By creating an account or booking a service, you represent and warrant that you meet these eligibility requirements. If you book services on behalf of another person, you represent that you have authority to accept these Terms on their behalf.

4. User Accounts
To access certain services, you may be required to create an account and provide accurate, current and complete information. You agree to keep your account credentials confidential and to update your account information (including payment details) promptly. You are responsible for all activities that occur under your account. If you suspect unauthorized use of your account, notify us immediately.

5. Membership Programs
ARIS may offer membership programs that provide members with priority access, discounted rates, or bundled service hours for black‑car transportation, yacht charters or private jet services. Membership programs are subject to additional membership agreements that define the membership term, renewal procedures, pricing and service benefits. In the event of a conflict between these Terms and a membership agreement, the membership agreement controls. Membership fees are non‑refundable except as provided in the membership agreement or required by applicable law. We reserve the right to modify or discontinue membership programs with reasonable notice to affected members.

6. Bookings and Payments
6.1 Pricing
Prices for services are set by our Affiliates and may vary based on vehicle type, travel distance, charter duration and other factors. Prices will be quoted at the time of booking and are subject to applicable taxes, fees and surcharges. For black‑car services, minimum booking durations may apply (e.g., a three‑hour minimum for hourly charters). For yacht and jet charters, additional costs such as fuel, catering, docking and crew gratuities may apply.

6.2 Deposits and Prepayment
Certain services, particularly yacht and jet charters, may require a deposit or full prepayment at the time of booking. Deposit and payment terms, including refundability, will be disclosed before you complete your booking. If the Affiliate cancels or fails to deliver the service, deposits and prepayments will be refunded to you. Otherwise, deposits may be treated as liquidated damages in the event of cancellation by you, as specified in section 8 (Cancellations and Refunds).

6.3 Payment Authorization
By providing a credit card or other payment method, you authorize ARIS to charge your payment method for the full amount of the booking, including taxes and any additional charges incurred during the service (such as overtime or damage fees). You agree that ARIS may pre‑authorize or temporarily hold funds to verify your payment method. You further authorize ARIS to collect any amounts owed to Affiliates, and to remit the Affiliates’ share directly to them. Payment processing may be performed by third‑party processors subject to their own terms.

6.4 Processing Fees and Surcharges
Credit card processing fees or surcharges may apply where permitted by law and card‑network rules. Any such fees will be disclosed at the time of booking. You may avoid fees by using a payment method (such as ACH) that does not incur surcharges.

7. Member and User Conduct
You agree to use the services only for lawful purposes and in accordance with these Terms. You will treat drivers, crew members and other service providers with respect. You agree not to:
   - Engage in illegal, abusive or dangerous behavior while using the services;
   - Cause damage to vehicles, vessels or aircraft;
   - Transport contraband or hazardous materials;
   - Circumvent ARIS to book services directly with Affiliates for a period of 24 months after your last booking. Violation of this non‑circumvention obligation may result in liquidated damages equal to the commission that ARIS would have earned on the booking.


We reserve the right to refuse service or terminate your access to the Platform if you violate these Terms or engage in behavior that endangers others.

8. Cancellations and Refunds
8.1 Black‑Car Services
   - For point‑to‑point or airport transfers, cancellations made more than six hours before the scheduled pick‑up time will receive a full refund; cancellations made within six hours will be charged one hour at the prevailing hourly rate.
   - For hourly charters, cancellations made more than 24 hours before the scheduled start will receive a full refund; cancellations made within 24 hours will be charged for the minimum booking duration.

8.2 Yacht Charters
   - Cancellations more than 30 days before the charter date will forfeit the deposit only.
   - Cancellations 14–30 days before the charter date will be charged 50 % of the charter fee.
   - Cancellations less than 14 days before the charter date will be charged 100 % of the charter fee.
   - If a charter is cancelled due to weather or safety concerns, as determined by the captain, you may reschedule or receive a credit.

8.3 Private Jet Services
   - Cancellations more than seven days before the departure date will be charged 25 % of the charter fee.
   - Cancellations seven days or fewer before the departure date will be charged 100% of the charter fee.
   - Flight schedules are subject to change due to weather, air‑traffic control or mechanical issues. In such cases, you will have the option to reschedule or receive a credit.


8.4 Force Majeure
Neither ARIS nor its Affiliates will be liable for failure to perform caused by events beyond their reasonable control, including acts of God, severe weather, strikes, pandemics, acts of terrorism or government restrictions. If a force‑majeure event delays performance beyond 30 days, you may cancel the affected booking and receive a refund of amounts paid for services not rendered.

9. Intellectual Property
The Platform and its content, including logos, trademarks, software and text, are owned by ARIS or its licensors and are protected by intellectual‑property laws. You may not copy, modify, distribute or create derivative works from the Platform or its content without our prior written permission.

10. Privacy and Data Security
Your use of our services is subject to our Privacy Notice, which describes how we collect, use and protect your personal information. A copy of our Privacy Notice is available at https://arisprivacynotice.example.com. We may update the Privacy Notice from time to time and will provide notice of material changes.

11. Disclaimers
11.1 Affiliate Services
ARIS does not guarantee the quality, safety or availability of services provided by Affiliates. While we vet Affiliates and require them to maintain insurance and comply with applicable regulations, services are provided “as is” and at your own risk. ARIS is not responsible for delays, injuries, losses or damages arising from Affiliate services.

11.2 No Professional Advice
Information provided on the Platform is for general informational purposes only and is not professional advice. You should consult appropriate professionals for advice tailored to your specific situation.

12. Limitation of Liability
To the maximum extent permitted by law, ARIS will not be liable for indirect, incidental, special, consequential or punitive damages, including lost profits, arising out of or related to these Terms or the services. In any event, ARIS’s total liability for any claim arising from these Terms or the services will not exceed the total fees you paid to us for the service giving rise to the claim in the twelve (12) months preceding the event. Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

13. Indemnification
You agree to indemnify, defend and hold harmless ARIS and its officers, directors, employees and agents from any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including attorneys’ fees) arising out of or relating to your use of the services, your breach of these Terms, or your violation of the rights of a third party.

14. Dispute Resolution
We strive to resolve disputes informally and efficiently. If you have a dispute with ARIS, please contact us at the address below. If we cannot resolve the dispute within 30 days, either party may submit the dispute to mediation administered by the American Arbitration Association (“AAA”) under its Commercial Mediation Procedures. If the dispute is not resolved through mediation, it will be resolved by binding arbitration administered by the AAA under its Commercial Arbitration Rules. The arbitration will be conducted in Orange County, California, before a single arbitrator. Each party will bear its own attorneys’ fees and costs, and the parties will share the arbitrator’s fees equally. The arbitrator’s decision will be final and binding. Nothing in this section prohibits either party from seeking injunctive or equitable relief in a court of competent jurisdiction.

15. Governing Law
These Terms and any dispute arising out of or related to them will be governed by the laws of the State of Delaware, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the state and federal courts located in Lewes, Delaware for any action not subject to arbitration.

16. Modifications to the Terms
We may update these Terms from time to time to reflect changes in our services, legal requirements or business practices. When we do, we will post the updated Terms on our Platform and indicate the effective date. If we make material changes that affect your rights, we will provide notice (such as a pop‑up or email) and seek your consent where required by law. Your continued use of the services after the effective date constitutes your acceptance of the updated Terms.
